Membership of the Society
In 2012 The North Wales Society became a company limited by guarantee. One important change as a result is the Liability of Members:
“The liability of the members is limited to a sum not exceeding £1, being the amount that each member undertakes to contribute to the assets of the charity in the event of its being wound up while he, she or it is a member or within one year after he, she or it ceases to be a member, for payment of the charity’s debts and liabilities.”
This means that each member of the Society would be liable for a sum not exceeding £1 should the Society ever fold or cease to exist.
Before the incorporation took place each and every person registered blind or partially sighted within North Wales was automatically a member of the Society, and therefore permitted to vote at an Annual General Meeting.
Following incorporation, to limit the liability of all those registered, membership was limited to the Directors of the Society. Each person registered blind or partially sighted is now recognised as associate members of the Society and as such have no personal liability. However associate members are not permitted to vote at a AGM.
